data-flag="normal"><span>2、XX集团XX项目未上市之前,由集团出股权激励协议。</span></p><p data-flag="normal"><span>根据职位对应的薪酬标准计算工资,该门店独立核算,门店有盈利后原门店老板按照持股比例分红。</span></p><p data-flag="normal"><span>4、门店盈利后,原门店老板每月按持股比例分红</span><span>,上市前目标公司所产生盈亏由该目标公司自行承担</span><span>(XX上市前</span><span>集团不参与分红集团占股部分保留在目标公司账上做运营资金)</span><span>。</span></p><p style="color:#333333;font-weight:normal;font-size:16px;line-height:30px;font-family:Helvetica,Arial,sans-serif;hyphens:auto;text-align:justify;" data-flag="normal"><span>5、并店后所有房源共享,新房支持无息垫佣,后台(培训、 </span><span>银行按揭、垫资资金、法务支持等)所有资源共享,XX内部员工所有的福利都正常享受,公司制度正常执行。</span></p><p data-flag="normal"><span>6</span><span>、并店后由所在城市分公司总经理统一管理(含财务做账</span> <span>等),分公司总经理和协管区经正常享有该门店管理提成,</span> <span>需要计算到门店成本中。</span></p><p data-flag="normal"><span>7</span><span>、合作之前的债权债务集团不承担,门店押金可按比例承</span><span>担,剩余房租,资产,更换招牌所产生的费用都在注入的投资款中支付。</span></p><p style="color:#333333;font-weight:normal;font-size:16px;line-height:30px;font-family:Helvetica,Arial,sans-serif;hyphens:auto;text-align:justify;" data-flag="normal"><span>8、原门店营业执照还继续保留,进行工商变更,集团作为 股东,同时,集团提供“XX”商标授权使用协议,原 </span><span>门店(公司)公章由所在城市分公司财务统一管理。</span></p><p style="color:#333333;font-weight:normal;font-size:16px;line-height:30px;font-family:Helvetica,Arial,sans-serif;hyphens:auto;text-align:justify;" data-flag="normal"><span>9、在XX系统未启用之前先使用集团(AIO)系统。</span></p><p data-flag="normal"><span>10</span><span>、退出机制,若并购的店面后期经营不善(连续亏损或者集团注资部分已经花完),集团有权终止合作,经营期间的亏损股东按照比例承担,店面归还原老板;集团还选择继续</span><span>经营,每店可向集团申请</span><span> 10 </span><span>万元无息借款</span><span>(是否借款由集团</span><span>评估公司(门店)经营情况决定),如果不借款原门店老板</span><span>需要按持股比例出资,若不出资门店</span><span> 100%归属集团,具体以</span><span>协议为准。</span></p><p
