[…] But if I look at that LLC and see it's a disregarded LLC, all of a sudden that transaction that the corporate folks think it's just selling equity, it's just a sale of a membership interest. From the tax perspective, it's a sale of an asset, for federal income tax purposes at least, they're selling an asset. And so I have to put my asset sale hat on for tax purposes and look at that transaction, how it's going to be structured and what type of entity, perhaps even from the buyer's side, we wanna set up to acquire that LLC interest. So there are a lot of moving pieces from our end that may not be sort of at the beginning stages for the corporate and business teams, ones that they sort of start focusing on where Linda and I ask a lot of questions at the beginning to try and understand how these assets are held, how is the transaction looked at from the buyer and seller perspective in terms of who is thinking about taking on the tax cost if there is one to the sale.
