但问题是,很多人后来发现,自己拿到的不是票,而是一张解释权归公司所有的饼。
这一期,我们从最近引发争议的某互联网公司期权纠纷聊起:为什么员工明明被授予了期权,公司却能在上市前后以各种理由说“不算”?为什么一个看似个体的劳动争议,可能牵出 VIE 架构、上市主体、境内劳动合同和海外控股公司之间的复杂关系?为什么监管、法院、投资者和员工,最终都绕不开同一个问题:这家公司到底认不认自己画过的饼?
节目里,我们也把“期权”这件事拆开讲清楚。它不是股票,也不是奖金,更不是白送的钱。期权本质上是一种未来的选择权:公司承诺你在某个时间之后,可以用约定价格购买一定数量的股票或权益。它真正值钱,需要几个条件同时成立:公司得活得好,最好能上市或被并购;市场得愿意给高估值;合同和制度得被承认;最重要的是,公司不能在饼快熟的时候把桌子掀了。

English: Once, stock options were one of the most compelling narratives in internet companies: the company was still small, cash was limited, but the future was vast; you'd tough it out together for a few years, and when the company went public, got acquired, or its valuation skyrocketed, today's "paper equity" could become tomorrow's real money. It was like a ticket to the future, and also a mutual expression of trust between startups and their employees.
But the problem is, many people later discovered that what they received wasn't a ticket, but a pie whose interpretation rights belonged entirely to the company.
In this episode, we start with a recent controversial stock option dispute at an internet company: why can employees who were clearly granted options have the company say "it doesn't count" for various reasons before and after going public? Why can what seems like an individual labor dispute unravel into complex relationships between VIE structures, listing entities, domestic employment contracts, and overseas holding companies? Why do regulators, courts, investors, and employees all ultimately face the same question: does this company actually stand by the pie it drew?
In the show, we also break down what "stock options" really are. They're not stocks, not bonuses, and certainly not free money. Stock options are essentially a future right of choice: the company promises that after a certain time, you can purchase a certain number of shares or equity at an agreed price. For them to be truly valuable, several conditions must be met simultaneously: the company must be doing well, ideally going public or being acquired; the market must be willing to assign a high valuation; the contract and system must be recognized; and most importantly, the company can't flip the table when the pie is almost ready.
From early Silicon Valley stock option incentives to Chinese internet companies going overseas through VIE structures; from the differences between options, RSUs, and restricted stock, to the pitfalls hidden in exercise, vesting, option pools, and buyback clauses; from "golden handcuffs" to "empty promises," this episode attempts to answer a more practical question: when economic growth, IPO windows, and corporate credit are no longer as stable as they once were, do stock options still deserve an important place in your compensation package?
