Business Formation
When starting a health care business, it is important to determine the best possible business structure, from both a legal and financial perspective. While some of the business formation decisions are the same regardless of whether your business is in the health care industry, there are some special considerations for health care business models. For example, federal and state law prohibit certain individuals from investing in, controlling, or managing health care businesses that will directly or indirectly receive federal and state health care program funds, and many states prohibit ownership of health care providers by individuals who are not licensed health care professionals (Corporate Practice of Medicine). In my 30 years as a health care regulatory attorney, I have seen health care businesses succeed and fail. Often, the businesses that fail do so because the owners were not familiar with the legal requirements applicable to their business model, and have either structured their health care business in a manner that violated applicable laws, or made mistakes that resulted in government or payor scrutiny and enforcement. Since the penalties for violations of health care laws can be severe, I want to educate you on the laws that may apply to your health care business so that you "know what you don't know" and help your business avoid these pitfalls.
