Who Really Pays in a No Money Down Deal?

In this episode breakdown, Pankaj Raval and Sahil Chaudry follow the money behind the no money down business acquisition. Working from the SBA's newly revised lending rulebook, SOP 50 10 8.1, they map where acquisition money actually comes from and what each funder takes in return. Through this practical analysis, Pankaj and Sahil extract critical rules on SBA down payments, seller financing, and leveraged deal structures, that apply directly to founders and leaders of growing private enterprises buying, selling, or financing a business. This podcast is for informational purposes only and does not constitute legal advice. Takeaways The Return of the Equity Floor: A first-time buyer using an SBA 7(a) loan, the SBA's main program for financing business purchases, must bring an equity injection (the buyer's own stake) of at least 10 percent of total project costs, meaning price, closing costs, and any working capital in the loan. Under 8.1, that floor can't be reduced or waived for an initial acquisition. Seller notes and small passive investors now share one bucket capped at half of it. Whose Money, and What They Get: Every no money down deal is funded by someone: the seller through a note, the seller through stock, the business through its own assets or revenue, or a government-backed lender. Each source receives an enforceable right in return, such as a promise to pay, a piece of the company, or a lien (a lender's legal claim on assets). In most of these structures, the seller carries the most risk. The Seller's Tax Trap: Under the installment method, a financing seller generally reports gain as payments arrive, but depreciation recapture, the slice of gain tied to past depreciation deductions, is taxed in the year of sale. Paying a seller in stock is a taxable exchange unless it fits a non-recognition rule such as Section 351, which requires contributors to own at least 80 percent of the corporation immediately after. When the Business Pays for Its Own Sale: Borrowing against the target's own assets can expose the seller, the lender, and potentially the new owners to a fraudulent transfer claim if the company is left undercapitalized, with no bad intent required. Merchant cash advances can be treated as loans, and New York courts have voided agreements whose effective rate ran past the 25 percent criminal usury cap. Soundbites "Because somebody always puts money down. The only question is who and what they get for it." "...So stop asking, can I do this with no money down? Ask whose money is it and what do they get for it?" "So seller financing isn't a trick. It's a loan from one person who knows the business best. Document it like a loan, protect it like a loan, and it's one of the most honest tools in deal making." "No money down is a financing structure, not a strategy. Price the strings before you pull them." 50-50 Partnerships Part 2

In this episode breakdown, Pankaj Raval and Sahil Chaudry return to the 50/50 partner dispute from Part 1 and follow it into its most dangerous week. Working through the Texas Business Organizations Code and the California Corporations Code, they unpack what a bank lockout actually means, what records a locked-out owner can demand, and what really happens when a co-owner asks a court to end the company. Through this practical analysis, Pankaj and Sahil extract critical lessons on control, records access, and exit strategy, that apply directly to founders and leaders of growing private enterprises sharing ownership with a partner. This podcast is for informational purposes only and does not constitute legal advice. Takeaways The Gap Between Ownership and Signature Authority: A bank signature card is a contract between the company and the bank about who can move money, not a record of who owns the business. Ownership lives in the governing documents and the books. When the two drift apart, the person on the card controls payroll while the ownership question waits for a court. The Leverage of Single Points of Control: Bank logins, domain registrars, payroll platforms, accounting admin rights, and a sole signature on the lease all become leverage in a dispute. None of it usually starts as wrongdoing; it is how two people naturally divide the work. Pankaj and Sahil's point is that the answer belongs in writing on a good day. The Contrast in Member Records Access: Texas gives LLC members a right to inspect records on written demand with a proper purpose, but a 2023 amendment lets the company agreement narrow it and carves out emails and texts. California grants access regardless of ownership percentage, allows fee shifting for unjustified refusals, and generally keeps the operating agreement from removing the right. The Price of Court-Ordered Dissolution: Winning a court-ordered wind-up ends the business, liquidates the assets, and splits what is left. California's grounds are broader and name deadlock explicitly, but filing lets the other members avoid dissolution by buying out the filer at fair market value. Soundbites "Leverage and rights are different things. Rights get vindicated eventually and expensively. Leverage works immediately and for free." "It costs nothing and it solves nothing until one day it decides everything." "But it means you had better know before you file whether you're trying to end the company or trying to get bought out, because in California, filing may answer that question for you." "You cannot litigate your way back to partnership. The documents exist to keep you out of the room where you would try." 50/50 Partnerships Part 1 - Handshake Deals

In this episode breakdown, Pankaj Raval and Sahil Chaudry take apart the 50/50 partnership, the most common and least documented ownership structure in private business. They work through a line of recent state court decisions and the LLC statutes of Texas, California, and Delaware to answer one question a handshake never answers: does your co-founder actually owe you anything? Through this practical analysis, Pankaj and Sahil extract critical distinctions in default entity law, governance design, and buy-sell mechanics, that apply directly to founders and leaders of growing private enterprises operating on trust instead of paper. This podcast is for informational purposes only and does not constitute legal advice. Takeaways The Default Rules of Your State: A partnership with no governing document does not operate without rules. It operates under the rules the state wrote, and those rules differ sharply depending on where the entity was formed. Founders who file cheaply and quickly online rarely learn which set they accepted. Separating Formal Duty from Informal Trust: Courts in some states have held that co-ownership alone creates no formal fiduciary duty between members. A narrower informal duty can still exist, but it has to have existed before and apart from the venture now in dispute, and the other side has to have traded on it. The Manager-Managed Filing Trap: A California LLC is member-managed by default unless the election appears in both the articles of organization and the operating agreement. Signing a detailed manager-managed agreement while the articles say otherwise can leave the entity carrying full member-to-member duties nobody intended to take on. The Machinery of a Workable Buy-Sell: A buy-sell with a trigger and no price mechanism resolves nothing. The shotgun clause is elegant but favors whichever owner can raise cash, which makes it a purchase option rather than a coin flip, so a formula price or a defined appraisal process usually serves a founder pair better. Soundbites "Twenty years of friendship buys you an enormous amount as a human being. As a matter of default entity law in Texas, it buys you zero." "So the default is not no deal, the default is somebody else's deal." "And deadlock does not announce itself, it accumulates." "And the answer to that can be yes. Asymmetry is completely fine. Undocumented asymmetry is a lawsuit."
