みやたしのぶの #投資小噺 では、あいざわアセットマネジメントのCOOであるみやたしのぶがファンドの運営のあれこれをひたすら喋り続ける、オタクトーク。これを聞けばファンドの運営でのお困りごとは大抵解決するらしい、と評判ですよ。 さて、今回のエピソードでは、弊社 COO の #みやたしのぶ が2023年10月からケイマン諸島で施行された、#ガバナンス の強化の動きについて、その背景と考え方、そして対応方法の基礎的なところを解説しています。 組合型のファンドに特化した話になっていますが、会社型でも、当然契約型でも、ケイマン諸島で設立されたファンドと名のつくものでは避けられない、新しい規制ですのですが、元々 #ガバナンス についてはこの動画のシリーズでも何度も強調してきていますが、ファンドが誰のためにあって（って、投資家のため、なのですが）、それを一義的かつ主体的に運営する人たちがどうすれば、将来想定され得る事態に対応できるようにする準備をして、それに従って運営すれば良いか、を予め定め、必要に応じて投資家にも開示することで、運営の透明性を確保する、というものです。 ここで日本の運用業界が一般に陥りやすい考え方として、戦略通りに運用するのだから、この辺りは当然にする、と思い込んでいることです。ファンドの運営において、資産運用はその一部でしかない、のです。その他に起こり得る、（ファンドとIMとの関係以外の）利益相反を如何に予め想定し、開示することで理解する、という、法令で求められるファンドの運用者、というよりもファンドの立場から考えることが求められているのです。 と、堅苦しい話をしていますが、聞けばわかります。考え方は至ってシンプルです。
