<p>Susan Eisenberg is a partner in the Investment Funds Group at Kirkland & Ellis, based in the Houston office. Her practice focuses on representing alternative asset managers in fund formation and capital raising, operations, governance, regulatory compliance and related matters. Susan’s experience includes advising clients on the organization, structuring and operation of private investment funds and their management companies, marketing and distribution arrangements, trading and investment issues, coinvestment vehicles, fund liquidations and restructurings, investment adviser registration, compliance policies, regulatory investigations and exams and transactions among management companies and their principals, including joint ventures, spin outs and seed investments.</p> <p>Prior to joining Kirkland, Susan was the Global Product Counsel of KKR Credit where she oversaw the legal affairs of each investment product across all strategies within KKR Credit. She played a key role in the development and launch of new products within KKR Credit and advised on issues relating to deal structuring, operations, compliance, employee investing, closure of strategies and funds, affiliated arrangements, investor and board communications and proprietary investing. Darrell and I had a great time on this episode and there’s too much to describe so the following is Darrell’s bio from his firm’s website. Darrell Windham is the managing member of the firm’s Austin office and has forty years of experience representing publicly traded and privately held clients, private equity funds and investors in complex M&A, capital markets and other domestic and global business transactions. Darrell has experience in a wide variety of industries, including life sciences, medical devices, technology, software and semi-conductors, entertainment and media, manufacturing and construction, and consumer products. Darrell represents both strategic and private equity buyers and sellers in a variety of M&A transactions, including corporate reorganizations and recapitalizations, joint ventures, strategic alliances and auction transactions. Darrell represents issuers, underwriters, investors and private equity funds in capital raising transactions, such as initial and secondary public offerings, private placements of debt and equity securities and new fund formation. Darrell has served as a director and executive officer of publicly held companies and private businesses and in leadership positions in many state, local and national charitable and non-profit organizations, including serving as President and Chairman of the Texas Exes and as the first President of the Contemporary Austin.
